Compliance with rule 3(1) of the information technology (intermediaries guidelines) rules, 2001
These Terms are being published in compliance with Rule 3(1) of Information Technology (Intermediaries Guidelines) 2001, which mandates the publication of rules and regulations, privacy policy, and user agreement for accessing or using the platform.
These Terms constitute an electronic record under the Information Technology Act, 2000, and any relevant rules made under it. They are generated by a computer system and do not necessitate any physical, electronic, or digital signatures.
These Terms of Use ("Terms") govern the terms under which users ("You" or "Your" or "Yourself" or "User") access and register on the website _________________ its mobile application operated by PROPFTX Private Limited ("Company"), collectively referred to as "the Platform." The Platform provided by the Company enables both individual and institutional investors to invest in curated real estate assets ("Property" or "Properties") and earn long-term gains and/or periodic short-term revenue.
The terms and conditions of this Agreement apply to your use of the website [insert website URL] and its associated sites, services, and tools. This agreement also applies to other websites operated by PROPFTX Private Limited and its subsidiaries and international affiliates. The online portal PROPFTX is owned and operated by PROPFTX Private Limited, a company incorporated under the Companies Act, 2013 with its registered office at [No.GF01, Elegant Habitat,7th cross, 2nd Block Garden villas, Bhyraveshwara Nagar Bengaluru-560072]
By checking the box and clicking ‘I Accept’ during registration or transactions, you agree to the Terms. Using the Platform means you accept the Terms, which are agreed to electronically. If you do not accept the Terms or rules and policies on the Platform, do not click ‘I Accept’ and do not use the Platform or its Services.
The company may change the terms and conditions of the terms and privacy policies at any time without prior notice. You can check the “Last Updated” date to see if there have been any Refund Policy. It is your responsibility to periodically check the terms and updates. By accepting the Terms, you agree to be legally bound by any modifications made to the Terms.
When you provide your personal information to the company or give consent for the company to access your personal information for the purpose of providing services, you also confirm your interest in utilizing the service through platform in accordance with the Terms and Conditions.
1. Platform Access
Subject to your compliance with the terms of use and the payment of fee (if and as applicable), you are granted access to the Platform and the services offered by the PROPFTX. By accessing and using the platform, you agree to adhere to the terms of use and any payment obligations associated with the services. Access to the platform and the availability of services are dependent on your fulfilment of the requirements outlined in the terms of use, as well as complying with any KYC (Know Your Customer) compliance obligations.
By accessing and using the platform, you acknowledge and agree that the services provided are subject to this limited license, which permits you to utilize the platform solely for the purpose of availing the services offered through it. This license is non-transferable and non-exclusive, and it does not grant you any ownership rights or intellectual property rights over the platform or its contents.
You must access the PropFTX Platform solely through the provided interface by the Company. Any other method, including using deed-linking, robots, spiders, or any automated device or program, is strictly prohibited. Engaging in such activities or attempting to access, copy, or monitor any part of the Platform or company’s content using unauthorized means is not allowed.
You are not permitted to reproduce, bypass, or alter the navigational structure or presentation of the Platform, materials, or any company’s content in any way. Any attempt to obtain materials, documents, or information through unauthorized means not explicitly available through the Platform is strictly prohibited.
The Platform offers a variety of services including:
- The Platform presents you with investment options/opportunities in special purpose vehicles structured as Limited Liability Partnerships (SPV LLPs). These SPV LLPs, in turn, utilize the invested funds to acquire pre-identified properties. These investments options/opportunities/ are collectively referred to as “[provide the term which is used for the investment opportunities]” on the Platform.
- Facilitate these investment options/opportunities, a team of experts identifies suitable properties, which are referred to as “Property” or “Properties” in relation to each investment options/opportunity.
- By participating in the property investment options/opportunities on the platform, you acknowledge and agree to the terms and conditions associated with each opportunity.
- If you wish to invest in a property on the platform as an investment opportunity, you must go through the registration process on the platform and fulfill the verification requirements as outlined in Clause 9 of these terms.
- The minimum investment amount, as specified in the respective property investment opportunity, must be met to participate in the investment. The minimum investment requirement is set to ensure the feasibility and viability of the property investment.
2. Tokenized Property
The platform offers the tokenization of the properties, allowing users to invest in properties through the acquisition of tokens representing ownership or fractional interest. In addition, the platform provides a facility and a dashboard for the management of tokenized properties and investment monitoring.
By participating in the tokenization of the property, you acknowledge and agree that the amount received from the token sale will serve as a capital contribution towards the SPV LLPs.
The capital contribution received from the token sale will authorize the SPV LLPs for the acquisition, management, and development of the property.
The platform provides a secure storage solution specifically designed for storing and managing property tokens. This ensures the safekeeping of your ownership shares in a reliable and protected environment.
The platform also provides a secure storage and management solution for your tokens representing ownership or fractional interest in the tokenized properties.
Through the dashboard, you will have access to tools and features that allow you to monitor and track your investments in the tokenized properties.
The token storage facility and dashboard are designed to provide you with a user-friendly interface for convenient management and monitoring of your tokenized property investments.
The token storage facility and dashboard are provided for informational and management purposes only and do not constitute financial, legal, or investment advice. You should perform your own due diligence and consult with professionals before making any investment decisions.
Please note that the token storage facility and dashboard are subject to the applicable laws, regulations, and security measures. You are responsible for complying with all legal and regulatory requirements related to the use of the token storage facility and dashboard.
3. Eligibility
The platform is accessible to both resident and non-resident individuals in India, as well as qualified institutional investors registered in India, in accordance with applicable laws. To use and access the platform, you must have the legal capacity to enter into a binding contract and not be disqualified or declared incompetent under the Indian Contract Act, 1872.
By using and accessing the platform, you affirm that you meet the necessary legal qualifications to enter into a binding contract, and are not prohibited by any applicable laws or regulatory authority from receiving services from the platform. You are either a resident or non-resident Indian or a qualified institutional investor registered in India, as defined by the Indian Foreign Exchange and Tax Laws.
The company reserves the right to verify your eligibility and may request additional information or documentation to confirm your identity and compliance with the eligibility criteria.
Each user is limited to one account on the platform unless explicitly permitted otherwise by the company. Creating multiple accounts without authorization may result in the termination of all accounts associated with you.
The access and use of the Platform are governed by the terms and conditions established by the company. By using the platform, you agree to comply with these terms and conditions, which constitute a legally binding agreement between you and the company.
The company reserves the right to modify, suspend, or terminate your access to the platform or its services at any time and for any reason, including but not limited to a violation of terms and conditions or applicable laws.
The company may collect and process your personal information in accordance with its privacy policy. By using the platform, you consent to the collection, storage, and processing of your personal information by the company.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to promptly notify the company of any unauthorized use or breach of security related to your account.
The company may update or modify the eligibility requirements, terms and conditions, or other policies governing the access and use of the Platform. Any such updates or modifications will be communicated to you through the Platform or other means determined by the company.
Failure to meet the eligibility requirements, comply with the terms and conditions, or adhere to the company’s policies may result in the termination of your access to the platform and its services.
4. Account Registration
During the account registration process, you will be required to provide the following details:
For Individual Users:

Post account creation: Once your account is successfully created, you may be required to provide additional information or complete any remaining verification steps as deemed necessary by the platform.
5. Bank Account and UPI Verification
After successful creation of your account, it is mandatory to link your Indian bank account details. Non-Indian bank accounts cannot be linked for investment or trading purposes. Multiple Indian bank accounts can be linked to the platform. You will have the option to add your bank account details to facilitate transactions on the platform. By adding your bank account, you authorize the platform to process payments and transfers related to your account activities.
To add a bank account, you will be required to provide accurate and complete bank account information, including the account holder’s name, bank name, branch, account number, and IFSC code.
The linked bank account will be verified through a small deposit verification procedure using the Indian currency. Each bank account linked to the platform must go through this verification process before initiating any investment or trading activities. Only one Indian bank account can be designated as the main bank account on the platform.
Once the verification is completed, you will be assigned a unique User ID associated with a unique identification number linked to the master escrow account maintained by the Company/Platform, where your funds and those of other users are held.
The platform will treat your bank account information and UPI credentials with strict confidentiality and will adhere to applicable data protection and privacy laws.
The platform shall not be held responsible for any loss or damages arising from inaccurate bank account information, unauthorized access to your bank account or UPI credentials, or any errors or issues related to the bank account integration or UPI verification process.
You are responsible for providing accurate bank account details and ensuring the security of your UPI ID and UPI PIN. Any unauthorized access or misuse of your bank account or UPI credentials should be reported immediately to the platform.
The platform reserves the right to modify, suspend, or terminate the bank account integration or UPI verification features at its discretion, with or without prior notice.
Any earned amounts or income will be subject to applicable fees and charges. Your investment details will be displayed on your dashboard on the platform. Withdrawals from your designated account can only be made to your linked and verified personal bank account. You can initiate a withdrawal request on the platform, and withdrawals will be allowed for available amounts in the designated account after deducting pending transactions, applicable platform fees, taxes, and charges.
6. Refund Policy
Refund Eligibility: Refunds for token purchases will be handled on a case-by-case basis. We reserve the right to refuse refunds except where required by applicable law.
Token Value Fluctuations: Please note that the value of tokens may fluctuate, and any changes in token value will not be considered grounds for a refund.
Requesting a Refund: If you believe you are eligible for a refund, please contact our customer support team at contact@propftx.com. Provide detailed information regarding your purchase and the reason for the refund request.
Processing Refunds: Refund requests will be processed within a reasonable timeframe. Refunds may be subject to administrative fees or transaction costs, which will be deducted from the refund amount.
Non-Refundable Costs: Please note that certain costs, such as administrative fees or charges related to the tokenization process, may be non-refundable even if a refund is granted. Such costs will be clearly communicated to users prior to the token purchase.
7. Exit Opportunities
As an investor in the tokenized properties through the platform, you may have exit opportunities that involve the transfer or sale of your partnership interest. The transfer of partnership interest allows you to sell or transfer your ownership stake in the SPV LLPs that hold the tokenized properties.
The platform may facilitate a secondary market where you can list and trade your partnership interests with other eligible investors. This secondary market can provide liquidity and flexibility for the investors who wish to exit their investments.
The Platform reserves the right to set limits on your ability to purchase tokenized properties, and the specific terms and conditions of these limits may vary based on factors such as regulatory compliance, prevailing market conditions, and the particular tokenized properties involved.
In some cases where the SPC LLPs are dissolved, you will receive a proportionate share of the proceeds from the sale of tokenized properties or other assets.
In the event of your passing, the partnership interest in the tokenized property may be transferred to your heirs or beneficiaries as per applicable legal procedures and the terms specified in the SPV LLP agreement.
8. Compliance
By using the platform, you agree to comply with all applicable laws, regulations, and guidelines related to your access and use of the Platform’s services. You shall be solely responsible for ensuring your compliance with any legal requirements that apply to your jurisdiction, including but not limited to laws related to investment in real estate, securities, taxes, and data privacy.
You agree not to use the platform for any unlawful or prohibited purposes. You shall not engage in any activities that may violate the rights of others, including but not limited to infringing upon intellectual property rights, distributing malicious software, spamming, or engaging in fraudulent or deceptive practices.
The company reserves the right to monitor your use of the Platform to ensure compliance with these terms and applicable laws. If the company becomes aware of any violation or suspected violation of these terms or any applicable laws, it may take appropriate actions, including but not limited to suspending or terminating your access to the platform, reporting the violation to the relevant authorities, and cooperating with any investigations.
You acknowledge that the company may be required to disclose your information, including your personal data, to comply with legal obligations or respond to lawful requests from government authorities or regulators.
Failure to comply with these terms and conditions or any applicable laws may result in severe consequences, including legal actions and liability for any damages or losses incurred by the company or other users of the platform.
9. Club Membership
The club membership is open to all registered users of the Platform who meet the eligibility criteria specified in the terms and conditions. Any individual or entity, who complies with the applicable laws and regulations and is not barred from accessing the services offered by the Platform, may become eligible to become club members. The membership offers exclusive benefits and access to various features, subject to the payment of the required membership fees and adherence to the terms and conditions outlined in clause 9 (Club Membership).
Membership Fee Payment: The Club Membership fee shall be specified in the Platform’s pricing or membership section. You shall be required to pay the membership fees through the provided payment gateway on the platform. The membership fees payment may be a one-time payment for the membership duration or a recurring subscription, as explicitly indicated during the membership sign-up process.
Recurring Subscription: If the Club membership involves a recurring subscription, your payment method will be automatically charged at the specified intervals (e.g., monthly, annually) until you cancel the membership. You shall have the option to manage your subscription settings and cancel the membership through the account of the Platform.
Membership Renewal: For membership renewals with a fixed duration, the renewal process will depend on the type of membership plan chosen by you. If the membership is set to auto-renew, the membership will automatically renew for the same duration, and the applicable membership fee will be charged to your payment method. You will receive prior notification before the renewal date, allowing you to modify your renewal settings if applicable.
Non-Renewal of Membership: If the club membership is not set to auto-renewal, it will expire at the end of the membership term. In such cases, your access to club membership benefits, features, and content will be suspended after the expiry date. You may choose to manually renew your membership if you wish to continue enjoying the club membership benefits.
Membership Termination: The company reserves the right to terminate or suspend user club membership, with or without notice, for violation of the terms and conditions, misuse of the platform, or any other breach of policies. In such cases, the user will lose access to club membership benefits and may not be entitled to any refund of membership fees.
Refunds: Membership Fees for the Club Membership are non-refundable, except as required by applicable consumer protection laws. Refunds may be granted at the sole discretion of the company in cases of technical issues, billing errors, or other exceptional circumstances.
Changes to Membership Terms: The company reserves the right to modify the terms and conditions of club membership, including membership fees, benefits, and renewal policies. Any changes will be communicated to the existing members through email or notifications on the platform. Continued use of the club membership after such modifications constitutes acceptance of the updated terms.
10. Property Information
The platform may provide information regarding various properties, including but not limited to property details, location, specifications, images, and investment opportunities. While we strive to present accurate and up-to-date information, please be aware that the property information is provided for general informational purposes only and should not be considered as investment advice.
We strongly advise all users to conduct their own independent due diligence and seek professional advice before making any investment decisions based on the property information and documents provided on the platform by the developer/builder. Investment in properties carries inherent risks, and individual circumstances may impact the suitability of a particular property as an investment opportunity.
The platform does not guarantee the accuracy, completeness, or reliability of the property information. The company and its affiliates shall not be liable for any losses, damages, or any adverse outcomes arising from reliance on the property information and documents or any investment decisions made based on such information and documents.
Each property’s performance and potential returns can vary based on market conditions, economic factors, and other external influences. Past performance is not indicative of future results, and all investments involve risks.
By accessing and using the property information and documents on the platform, you acknowledge and accept that the company and its affiliates do not provide investment advice, and you shall be solely responsible for evaluating the suitability of any property investment and making informed decisions.
11. Token Purchase Process and Ownership
Token Purchase Process: To purchase tokens representing ownership in the tokenized properties, users must follow the token purchase process outlined on the platform. This process may involve the following steps:
- Select property: Users can browse the list of available tokenized properties on the platform and choose the property they wish to invest in.
- Token Allocation: After selecting the property, users can indicate the number of tokens they wish to purchase. The platform will allocate the corresponding number of tokens to the user’s account upon successful completion of the purchase.
- Payment: Users will be required to make the payment for the tokens through the provided payment gateway on the platform. The payment can be made using the acceptable payment methods specified on the platform.
- Confirmation: Upon the payment being processed successfully, users will receive communication of their token purchase, along with the relevant details of the ownership stake.
- Token Ownership: The tokens represent the ownership rights and benefits associated with the underlying property.
- Transfer of Ownership: Users may transfer their ownership of tokens to other eligible users subject to the terms and conditions of the platform and any applicable regulatory requirements. Such transfers may take place through the platform’s designated transfer process.
- Token Value: The value of the tokens may fluctuate based on various factors, including the performance of the underlying property, market conditions, and demand from potential buyers. The platform does not guarantee any specific token value or return on investment.
- Token Management: Users can manage and monitor their token ownership through their accounts on the platform. The platform may provide access to tools and features for tracking token performance, receiving property-related updates, and accessing relevant documentation.
- Risk Disclosures: Users should be aware that tokenized property investment carries inherent risks, and the value of the tokens and the underlying property may fluctuate. It is crucial for users to conduct their own due diligence and seek professional advice before making any investment decisions.
In the event that the required number of investors to fully fund the tokenized property is not met within the specified period of 120 days, the company reserves the right to cancel the offering of tokens for that particular property. If the investor threshold is not reached, the company shall refund the total amount of investment made by each user investor.
The refund process will be initiated promptly, and the refund amount will be returned to the respective users' designated accounts or payment methods used for the original token purchase. Any applicable fees or charges related to the refund process may be deducted as per the company’s policies or applicable laws.
The company shall communicate any cancellation of the token offering and initiate the refund process through the Platform’s notifications or via email to the affected users/investors.
By participating in the tokenized property investment, users acknowledge and accept the possibility of the investor threshold not being met, and the subsequent refund of their investment amount in such cases. The company encourages users/investors to carefully review all property investment details and terms before making any investment decisions on the platform.
12. Intellectual Property Rights
All the content and materials on the platform, including but not limited to text, graphics, logos, button icons, images, audio clips, and software, are the property of the company (or its licensors) and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.
The trademarks, service marks, and logos displayed on the platform are registered and unregistered trademarks of the company and its licensors. You are not allowed to use any trademark, service marks, or logos without the prior written consent of the company or the respective owner.
Any user-generated content you provide on the platform grants the company a perpetual, irrevocable, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media and for any purpose.
If you believe that any content on the platform infringes upon your intellectual property rights, please contact the Company’s Grievance Redressal Mechanism matters to report the infringement.
Third-Party Content and Linked Websites: The references to names, marks, products, or services of third parties, as well as any links to third-party websites or content provided by third parties on this platform, are included for your convenience. However, these references and links do not mean that we endorse, sponsor, or recommend the third party or their material or services. We are not responsible for the practices or policies of such third parties, and we do not make any representations and about their materials or services, or the accuracy of any content of their websites. If you choose to visit any third-party sites through the provided links, you do so at your own risk.
Other Agreements: These terms and conditions of use do not intend to alter or modify any other written agreement you may have with PropFTX (including but not limited to any customer agreement, participation agreement, operating agreement, investment agreement, participating agreement, or account agreement) (other agreements) that may currently be in effect. If there are any inconsistencies between these terms and conditions of use and any other agreements, the other agreements will take precedence. Additionally, certain pages on the platform/website may contain supplemental terms and conditions, as well as additional disclosures and disclaimers, which will apply in addition to these terms and conditions of use. In case of any conflict, the supplemental terms, conditions, disclosures, and disclaimers will govern for those specific sections or pages.
Indemnification: You agree to indemnify and hold harmless PropFTX/Company (as applicable) its subsidiaries, affiliates, third parties, and their respective shareholders, officers, directors, agents, and employees from any loss, liabilities, damages, costs and expenses, claims or demands, or actions including reasonable attorney’s fees asserted against or incurred by Company made by any third party arising out of your breach or non-performance of terms of the user agreement.
Grievance Redressal Mechanism: PropFTX, we strive to provide excellent services and maintain a transparent and efficient grievance redressal process. We value your feedback and are committed to addressing any concerns or grievances you may have. Our grievance redressal mechanism is designed to manage complaints in a fair and timely manner. Here is how you can raise a grievance and the steps we take to resolve it:

Grievance Submission Process: When submitting your grievance, please provide the following details:
- Your name and contact information.
- A clear and concise description of the issues or concern.
- Any relevant documentation or evidence to support your grievance.
- Acknowledgment: Once we receive your grievance, we will acknowledge its receipt within ___ business days through your preferred communication channel (email, phone).
- Grievance Resolution: We will thoroughly investigate your grievance and take appropriate actions to resolve the matter. Our team will work diligently to provide a resolution as quickly as possible. The time required to address your grievance may vary depending on the nature of the issues, but we will keep you informed about the progress.
- Communication and Updates: Throughout the grievance redressal process, we will keep you informed of the status of your complaint and any steps taken for resolution.
- Final Decision: Once the investigation is complete, we will provide you with our final decision and the reason for the resolution.
- Escalation: If you are dissatisfied with the resolution provided, you will have the option to escalate your grievance to a higher authority or designated grievance officer within our organization. Details of the escalation process will be communicated to you during the redressal process.
- Confidentiality and Non-Retaliation: We treat all grievance-related information with utmost confidentiality. Our grievance redressal process ensures that no user is subject to any form of retaliation or adverse treatment for raising a complaint.
- Record Keeping: We maintain records of all grievances received and actions taken for a specified period as required by applicable laws and regulations.
Disclaimer and Limitation of Liability: The Platform is provided on an "as is" and "as available" basis, without any warranties or representations of any kind, whether express or implied. We do not guarantee the accuracy, completeness, reliability, or availability of the Platform.
Limitation of Liability: To the fullest extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages.
Modifications and Termination: We reserve the right to modify, suspend, or terminate the Platform or this Agreement, in whole or in part, at any time without prior notice or liability. You may terminate this Agreement by discontinuing your use of the Platform.
Governing Law and Dispute Resolution: These terms of use shall be governed and construed in accordance with the laws of India, without regard to its conflict of law. Any dispute, controversy, or claim arising out or relating to these terms of use, or the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
Force Majeure Clause: The Company shall not be liable for any failure or delay in performing its obligations under these terms of use due to circumstances beyond its reasonable control, including but not limited to acts of god, natural disasters, war, civil unrest, government actions, power outages, and internet disruptions (“Force Majeure Event”). In the event of a force majeure event, the company’s performance of its obligations may be suspended until the force majeure event ceases, and the company will not be held responsible for any resulting delay or inability to perform its obligations.
Notice: Any notice or communication required or permitted to be given under these terms of use shall be deemed effective when sent by the Company to the email address provided by the user during account registration, or when posted as a notification on the Platform. Users are responsible for ensuring that the contact information provided is accurate and up to date to receive important communications from the company.
Privacy Policy
Information Collection: We collect personal information provided by users, including but not limited to name, email address, and payment information. We may also collect non-personal information such as device information and website usage data.
Use of Information: We use the collected information for the following purposes:
- To provide and improve the Platform services.
- To communicate with users regarding their accounts, transactions, and support inquiries.
- To personalize and enhance the user experience.
- To comply with legal obligations and enforce our rights.
Data Sharing: We may share personal information with third parties, including service providers, financial institutions, and legal authorities, as necessary to provide the Platform services and fulfill legal requirements.
Security: We implement appropriate security measures to protect personal information. However, please note that no method of transmission over the internet or electronic storage is completely secure.
Data Retention: We retain personal information for as long as necessary to fulfill the purposes outlined in this Privacy Policy unless a longer retention period is required or permitted by law.
